These Terms of Service (“Terms”) form a binding agreement between Zypher Digital, LLC (or your applicable legal entity) (“Zypher Digital,” “we,” “us,” or “our”) and you (“you” or “your”) governing your access to and use of https://zypher.digital and any related sites, subdomains, content, products, and services we provide (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms and our Privacy Policy (linked in the site footer). If you do not agree, do not use the Services.
Arbitration & Class Action Waiver Notice: Except for certain types of disputes described below, you agree that disputes between you and us will be resolved by binding arbitration on an individual basis—no class actions or jury trials. See Section 16.
1.1 Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
1.2 Account info. If you create an account, you agree to provide accurate information and keep it updated. You’re responsible for any activity under your credentials and for maintaining the confidentiality of your password. Notify us immediately of unauthorized use.
1.3 Business use. If you use the Services on behalf of a company, you represent you have authority to bind that company, and “you” includes that company.
2.1 License. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purpose.
2.2 IP Rights. The Services, including all content, text, graphics, logos, trademarks, service marks, videos, audio, software, and other materials (collectively, “Content”), are owned by Zypher Digital or our licensors and are protected by intellectual property laws.
2.3 Restrictions. You may not copy, modify, create derivative works from, distribute, sell, lease, reverse engineer, decompile, disassemble, or otherwise exploit the Services or Content, except as expressly permitted in these Terms.
You agree not to, and not to allow others to:
access or use the Services for any unlawful purpose, to violate others’ rights, or to violate applicable laws or regulations;
upload or transmit malware, spam, or content that is defamatory, obscene, harassing, hateful, infringing, or otherwise objectionable;
scrape, crawl, or use bots (except standard search engine indexing);
interfere with or disrupt the Services’ security or operation;
misrepresent your identity or affiliation;
collect or harvest personal information of others without consent.
We may suspend or terminate your access for violations (see Section 15).
4.1 Your content. You may submit or upload content (e.g., text, images, comments, testimonials) (“User Content”). You retain ownership of your User Content.
4.2 License to us. By submitting User Content, you grant Zypher Digital a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in connection with operating, improving, marketing, and providing the Services.
4.3 Your responsibilities. You represent and warrant that you have all rights necessary to submit your User Content and that it does not violate any law or third-party rights.
5.1 Payments. If you purchase paid Services, you agree to pay all fees, taxes, and charges disclosed at checkout. Payments are processed by third-party processors; we do not store full card numbers.
5.2 Subscriptions & Auto-Renewal. If your plan auto-renews, it will renew at the then-current rate unless you cancel before the renewal date. We’ll disclose renewal terms at checkout and in your account. You can cancel anytime in your account or by contacting support@zypher.digital.
5.3 Free Trials. If offered, trials convert to a paid plan at the end of the trial unless you cancel before conversion. We’ll disclose trial length and post-trial pricing.
5.4 Refunds. Unless expressly stated otherwise in an offer or order form, all fees are non-refundable. Some specific products/services may include their own refund or satisfaction guarantees; those govern for that purchase.
5.5 Price Changes. We may change prices prospectively; we’ll notify you in advance where required.
6.1 No guarantees. We may provide education, templates, checklists, or suggestions. We do not guarantee results, revenue, or performance. Outcomes depend on your implementation and factors outside our control.
6.2 No professional services. Unless a separate signed agreement states otherwise, we do not provide legal, tax, accounting, or financial advice. Consult your professional advisors for those matters.
The Services may reference or integrate third-party products, services, or websites. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party offerings is governed by their terms and privacy policies.
By providing contact information, you agree we may contact you about your account, transactions, and Services, including via email, phone, and (if you opt-in) SMS/MMS. Message and data rates may apply. You can opt out of marketing emails via the unsubscribe link and marketing texts by replying STOP. Transactional or service notices may still be sent.
If we share non-public business information with you, you agree to use it only for your internal evaluation of the Services and to not disclose it to third parties, except your professional advisors bound to confidentiality, unless we consent in writing or disclosure is required by law.
We may release features labeled “beta,” “preview,” or similar. They’re provided as-is and may change or be discontinued. We may modify or discontinue any part of the Services at any time.
If you believe content on the Services infringes your copyright, send a notice with: (a) your signature; (b) the work claimed infringed; (c) the material’s location; (d) your contact info; (e) your good-faith statement; and (f) a statement under penalty of perjury that you’re authorized to act.

We may remove content and terminate repeat infringers.
Your use of the Services is subject to our Privacy Policy (see footer link). The Privacy Policy explains how we collect, use, and share personal data and describes your rights, including Florida-specific rights and breach-notice practices under Florida law.
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYPHER DIGITAL AND ITS AFFILIATES, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR USD $1,000, WHICHEVER IS LESS. Some jurisdictions do not allow certain limitations; if so, some limitations may not apply to you.
We may suspend or terminate your access immediately if you breach these Terms, if required by law, or for security or operational reasons. You may stop using the Services at any time. Sections that by their nature should survive (e.g., ownership, payments due, confidentiality, disclaimers, liability limits, arbitration) will survive termination.
PLEASE READ CAREFULLY. THIS AFFECTS YOUR RIGHTS.
16.1 Informal resolution first. Before filing a claim, you agree to email legal@zypher.digital with a brief, written description of the dispute and your contact info so we can try to resolve it informally within 30 days.
16.2 Binding arbitration. If not resolved, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this section.
16.3 Venue & language. The arbitration will be conducted by a single arbitrator in Miami-Dade County, Florida, in English, unless we both agree to a different location or a documents-only/remote proceeding.
16.4 Individual actions only. No class or representative actions. You and we may bring claims only in our individual capacities.
16.5 Small claims court. Either party may bring an individual action in Florida small claims court for disputes within that court’s jurisdiction, instead of arbitration.
16.6 Injunctive relief. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction in Miami-Dade County, Florida to protect its confidential information or intellectual property pending arbitration.
If the class-action waiver is found unenforceable, this Section 16 is void as to that proceeding.
You agree to defend, indemnify, and hold harmless Zypher Digital and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services or Content; (b) your User Content; (c) your breach of these Terms; or (d) your violation of law or third-party rights.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules, and by applicable U.S. federal law (including the FAA for arbitration). Subject to Section 16, the exclusive venue for any permitted court action is the state or federal courts located in Miami-Dade County, Florida, and you consent to their personal jurisdiction.
We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, war, labor disputes, government actions, internet/utility failures).
We may update the Services and these Terms from time to time. We’ll post the updated Terms with a new “Last Updated” date. Continued use after changes means you accept the updated Terms.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, sale, or corporate reorganization.
You consent to receive electronic communications from us and agree that all terms, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. By clicking “I Agree,” creating an account, or using the Services, you electronically sign these Terms.
If any provision is found invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.
These Terms, the Privacy Policy, and any additional terms agreed in an order form or service-specific addendum are the entire agreement between you and Zypher Digital regarding the Services and supersede all prior agreements.
